Terms of Service

1. Acceptance of Terms

By accessing or using any services provided by AI Angkor Intelligence ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and others who access or use our website, AI consulting services, custom implementations, training programs, and any related services.

2. Description of Services

AI Angkor Intelligence provides:

• AI Strategy Consulting: Strategic guidance on AI adoption and implementation
• Custom AI Development: Bespoke AI solutions, chatbots, and automation systems
• Training & Workshops: Educational programs on AI technologies and implementation
• Khmer Language AI: Specialized language models and natural language processing
• MLOps & Infrastructure: AI operations, deployment, and maintenance services
• Website & Demo Tools: Online resources and interactive AI demonstrations

3. User Responsibilities and Acceptable Use

You agree to:

• Provide accurate, current, and complete information when creating accounts or requesting services
• Use services only for lawful purposes and in compliance with applicable laws
• Respect intellectual property rights of AI Angkor Intelligence and third parties
• Not attempt to interfere with, compromise, or disrupt our services or infrastructure
• Not use our services to create competing AI products without explicit agreement
• Maintain confidentiality of any login credentials or access tokens provided

Prohibited Uses:

• Generating harmful, illegal, or malicious content using our AI services
• Attempting to reverse engineer or extract training data from our models
• Using automated tools to scrape or harvest content from our website
• Impersonating AI Angkor Intelligence or its representatives
• Transmitting viruses, malware, or other harmful code

4. Intellectual Property Rights

Our Intellectual Property:

• All AI models, algorithms, and proprietary technologies remain our exclusive property
• Website content, logos, and branding materials are protected by copyright and trademark
• Training methodologies and consulting frameworks are confidential trade secrets
• Open-source components will be clearly identified and subject to their respective licenses

Your Content and Data:

• You retain ownership of data and content you provide to us
• You grant us a limited license to use your data solely for providing contracted services
• We may use anonymized, aggregated data for improving our AI models (opt-out available)
• Custom AI solutions developed for you may include shared ownership terms as specified in contracts

5. Service Availability and Performance

• Best Efforts: We strive to maintain 99.9% uptime for our online services but do not guarantee uninterrupted access
• Maintenance: Scheduled maintenance will be announced at least 48 hours in advance when possible
• AI Accuracy: AI-generated outputs are experimental and may contain errors; users should verify critical information
• Language Models: Khmer language processing is in active development and accuracy will improve over time
• Third-party Dependencies: Some services rely on external providers (Anthropic, Vercel) and may be affected by their availability

6. Payment Terms and Refunds

Consulting and Custom Development:

• Payment terms are specified in individual service agreements
• Typically 50% deposit required before work begins, remainder due upon completion
• Late payments may incur 1.5% monthly interest charges
• Scope changes may result in additional fees as mutually agreed

Training and Workshops:

• Full payment typically required before training delivery
• Cancellations more than 72 hours before training: full refund
• Cancellations 24-72 hours: 50% refund
• Cancellations less than 24 hours: no refund

Refund Policy:

• Refunds for unsatisfactory work will be considered on a case-by-case basis
• Refund requests must be made within 30 days of service completion
• Work completed and delivered cannot typically be refunded
• Refunds processed within 14 business days of approval

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

For consulting and custom development services, additional data processing terms may be specified in individual service agreements to meet your specific compliance requirements.

8. Limitations of Liability

• No Consequential Damages: We are not liable for indirect, incidental, special, or consequential damages
• Liability Cap: Our total liability is limited to the amount you paid us in the 12 months preceding the claim
• AI Outputs: We disclaim responsibility for decisions made based on AI-generated content
• Business Losses: We are not liable for lost profits, lost data, or business interruption
• Third-party Services: We are not responsible for failures or issues with third-party services we integrate
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control

9. Confidentiality

• Mutual Confidentiality: Both parties agree to protect confidential information shared during our relationship
• Client Data: We treat all client business information as confidential unless explicitly authorized to share
• Trade Secrets: Our proprietary AI methodologies and business processes remain confidential
• Duration: Confidentiality obligations survive termination of our service relationship
• Exceptions: Confidentiality does not apply to publicly available information or legal disclosures

10. Termination

Termination by You:

• You may terminate services at any time with written notice
• You remain responsible for all fees incurred before termination
• We will cooperate in orderly transition of ongoing projects

Termination by Us:

• We may terminate immediately for breach of these Terms
• We may terminate with 30 days notice for convenience
• We may suspend services immediately if we suspect illegal activity
• Termination does not affect accrued rights or obligations

11. Dispute Resolution

• Governing Law: These Terms are governed by the laws of Cambodia
• Jurisdiction: Disputes will be resolved in the courts of Phnom Penh, Cambodia
• Informal Resolution: We encourage informal resolution of disputes before formal legal action
• Mediation: For international clients, we may agree to mediation through recognized arbitration bodies
• Severability: If any provision is unenforceable, the remainder of these Terms remains in effect

12. Changes to Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices:

• Notice: Material changes will be announced via email or prominent website notice at least 30 days in advance
• Effective Date: Changes take effect on the date specified in the updated Terms
• Acceptance: Continued use of our services after changes constitutes acceptance
• Existing Contracts: Changes do not affect existing service agreements unless mutually agreed

In case of conflict between these general Terms and specific service agreements, the specific service terms take precedence for that particular service.
